- Focalab
- Vario
- other brands owned or licensed by us

References to “Focalab,” “we,” “us,” or “our” refer to the entity listed in Annex I, including its affiliates involved in operating the Service.

- you agree to be legally bound by them
- you have the legal authority to enter into this agreement
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If we make material changes, we will generally provide advance notice, unless immediate changes are required due to:

- Technical integrity of the Service
- circumstances beyond our control

*Product prices shall be as displayed on the Website. For pre-order or crowdfunding campaigns, we may offer tiered pricing (such as VIP, Super Early Bird, or Early Bird). The final retail price (MSRP) may be adjusted based on market conditions; however, the specific promotional price secured by your deposit shall be honored in accordance with the applicable reservation agreement.
License to Use the Service
The Service and all related materials are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to use the Service solely for personal or internal business use, subject to these Terms.
This license does not transfer ownership of any intellectual property rights.
Restrictions

- operate a competing service using our technology

Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided:

We do not guarantee that the Service will be:
- uninterrupted
- secure
- error-free
- free of harmful components
Limitation of Liability
To the fullest extent permitted by law:
Focalab will not be liable for indirect, incidental, or consequential damages, including loss of:
- profits
- revenue
- data
- business opportunities
Our total liability will not exceed:
US $1,000 or the amount paid by you to us in the 12 months preceding the claim, if required by law.
Indemnification
You agree to defend, indemnify, and hold harmless Focalab and its affiliates from claims arising from:
- Your use of the Service
- your content or submissions
- Your violation of these Terms
- Your violation of applicable law
Governing Law and Dispute Resolution
Governing Law
This Agreement and any dispute arising out of or in connection with this Agreement or the Services shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to its conflict of laws principles.
Exclusive Jurisdiction
Any dispute arising out of or in connection with this Agreement or the Services shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
Class Action Waiver
To the fullest extent permitted by applicable law, you agree that any dispute must be brought solely in your individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative action.
